  • Assisté le plus grand investisseur étranger dans l'industrie minière roumaine, a leading AIM listed company focused in Zimbabwe, Zambia and other jurisdictions, with operations in mineral resources and gold exploration, in a transaction regarding a Prepayment Agreement. Pursuant to this agreement, the buyer, Mercuria Energy Trading, one of the largest integrated energy and commodity trading companies in the world, agreed to prepay an amount of up to USD 9.5 MIL, to our client in consideration for future deliveries of zinc, and copper concentrates from our clients subsidiaries in Romania. We have drafted a legal opinion regarding the capacity and natural resources and regulatory matters of our clients subsidiaries to enter into the transaction; we performed the revision of the environmental authorization, the water management authorization, we advised regarding the exploitation license and the exploration program from National Agency for Mineral Resources (NARM). Also, we drafted a legal opinion regarding our clients capacity, power and authority to execute, deliver and perform the commercial contracts to deliver ore concentrates and in relation to the applicable regulatory requirements set by domestic and EU-law in the area and energy law, as well as in the regulatory field.   • Assisté une société minière cotée à l'AIM, le seul investisseur opérationnel dans l'industrie minière en Roumanie, dans un accord de financement conclu avec un fonds de capital-investissement britannique, basé sur un programme Bond Issuance Deed, selon lequel le client doit recevoir les obligations en quatre tranches, la première s'élevant à plus de 7 000 000 USD. Outre l'assistance aux entreprises et aux banques, nous avons traité toutes les étapes de la procédure et assuré la liaison avec les autorités compétentes dans le domaine des ressources naturelles, en examinant et en négociant la documentation sous-jacente pour la réalisation du transfert du concentré de minerai. En plus de cela, nous avons conseillé en matière de permis d'exploration et d'aspects relevant de l'ANMR (Agence Nationale des Ressources Minérales) et en termes de structuration de la transaction, d'examen de la documentation et des autorisations et de rédaction des accords afférents.   • Assisté une société minière britannique de premier plan avec des opérations en Roumanie, dans le cadre d'un accord de coentreprise de plusieurs millions avec une entreprise publique roumaine, afin d'opérer sous la licence d'exploitation de cette dernière.
