Law no. 222/2023 for the amendment and amending of the Romanian Companies Law no. 31/1990, as well as of Law no. 265/2022 on the Romanian Trade Register and for the amendment and completion of other normative laws affecting the registration in the Romanian Trade Register.
The Romanian Parliament adopts this law.
Art. I.
Romanian Companies Law no. 31/1990, republished in the Official Gazette of Romania, Part I, no. 1066 of November 17, 2004, with subsequent amendments and completions, is amended and supplemented as follows:
1. In Article 113, the letter h) is amended to read as follows:
h) merger with other companies in Romania or division of the company in Romania, including cross-border merger and cross-border division in Romania
2. In Article 113, after the letter h) a new letter is inserted, letter h1), with the following content:
h1) cross-border transformation of company in Romania.
3. In Article 134, paragraph (1) letters b) and d) 21 (are amended to read as follows:
b) cross-border transformation of company in Romania.
d) merger or division of the company in Romania, including cross-border in Romania.
